These Terms of Service ("Terms") govern your use of Leo, a personal assistant mobile application operated by Valdrium. By installing or using Leo, you agree to these Terms. If you do not agree, please do not use Leo.

1. Who can use Leo

You must be at least 13 years old to use Leo (16 in the European Economic Area and the UK). By using Leo you confirm that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are using Leo on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Your account

You create your Leo account by signing in with Google. You are responsible for keeping your Google account secure. You agree to provide accurate information and to update it if it changes. You may delete your account at any time from Settings → Delete account, or at valdrium.com/delete-account.

3. Acceptable use

You agree not to:

• Use Leo to violate any law or third party's rights.
• Use Leo to send spam, harass others, or distribute malware.
• Attempt to reverse engineer, decompile, or interfere with Leo's normal operation.
• Use Leo to generate content that infringes intellectual property, is sexually explicit involving minors, or that incites violence.
• Submit prompts or content designed to extract another user's data or to circumvent Leo's safety filters.
• Resell, sublicense, or commercially redistribute Leo or its outputs without our written permission.

We may suspend or terminate accounts that violate these rules.

4. Subscriptions, billing, and cancellation

Leo offers a free tier and a paid "Pro" subscription. Pricing is shown in the app at the time of purchase. Subscriptions are billed through Google Play and managed by your Google Play account.

• Auto-renewal. Pro subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.
• Cancellation. You can cancel anytime in your Google Play subscription settings or in Settings → Subscriptions inside Leo. Cancellation takes effect at the end of the current paid period.
• Refunds. Refunds are governed by Google Play's refund policy. We do not separately issue refunds outside that policy.
• Price changes. We may change subscription prices. We will give you reasonable notice (at least 30 days) and you can cancel before any price change takes effect.

5. AI-generated content

Leo uses third-party large language models (currently Anthropic Claude) to generate drafts, summaries, and other assistive content. Because these are probabilistic systems, Leo's output may contain errors, omissions, or inaccuracies. You are responsible for reviewing every action Leo proposes before accepting it, including outgoing messages, calendar invites, and any other action taken on your behalf. Leo's output should not be relied on as professional advice (legal, medical, financial, or otherwise).

6. Third-party services

Leo connects to third-party services such as Google (Gmail, Calendar, Firebase Cloud Messaging, Google Play Billing), Anthropic (AI processing), RevenueCat (subscription entitlements), Resend (transactional email), and Railway (hosting). Your use of these services is governed by their own terms and privacy policies. We are not responsible for the availability or behavior of third-party services.

7. Intellectual property

Leo, including its software, design, and trademarks, is owned by Valdrium. These Terms do not grant you any ownership rights. You retain ownership of the content you provide to Leo (your messages, contacts, calendar data). You grant us a limited license to process that content as needed to operate Leo and to provide the features you use.

8. Disclaimers

Leo is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that Leo will be error-free, secure, or always available, or that the AI's outputs will be accurate or suitable for your purposes.

9. Limitation of liability

To the maximum extent permitted by law, Valdrium will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of Leo, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from or relating to Leo will not exceed the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) twenty US dollars (US$20).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the limitations in this section may not apply to you in full.

10. Indemnification

You agree to indemnify and hold Valdrium harmless from any claims, losses, damages, and expenses (including reasonable attorneys' fees) arising out of your misuse of Leo, your violation of these Terms, or your violation of any third-party right.

11. Termination

You may stop using Leo and delete your account at any time. We may suspend or terminate your access to Leo if you violate these Terms or if we are required to do so by law. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the app and update the effective date at the top. Your continued use of Leo after a change takes effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the United States and the State of Texas, without regard to its conflict-of-law principles. Any dispute arising out of these Terms or your use of Leo will be resolved in the state or federal courts located in Fort Bend County, Texas, and you consent to the jurisdiction of those courts.
